Terms of Service

Effective September 4, 2026 · MrQuote, operated by Holistic Business Consulting LLC

    1. Agreement to these terms

These Terms of Service ("Terms") are an agreement between Holistic Business Consulting LLC d/b/a MrQuote ("we", "us") and the business or individual accessing MrQuote ("you"). By creating an account, accessing or using MrQuote — the web application, mobile and desktop apps, hosted customer portals, and related services (the "Service") — you agree to these Terms. If you are accepting on behalf of a company, you confirm you have authority to bind it, and "you" means that company. If you do not agree, do not use the Service.

    2. What the Service does

MrQuote is cloud-based field service management software for trade contractors. It provides quoting and estimating, property measurement and takeoff, customer and job records, scheduling, dispatch and routing, electronic signature, invoicing, payment collection through your own payment processor account, reporting, and optional integrations with third-party services such as Google Workspace and Microsoft 365. The Service is provided on a subscription basis.

    3. Accounts and eligibility

    • You must provide accurate registration information and keep it current.
    • You must be at least 18 years old, and have legal authority to enter this agreement on behalf of your organisation.
    • You are responsible for safeguarding account credentials, for all activity under your account, and for the acts and omissions of users you invite.
    • You must tell us promptly at legal@mrquote.net if you suspect unauthorised access.
    • You must use the Service only for lawful business purposes.

    4. Subscriptions, fees and taxes

    Billing

    • Subscription fees are billed in advance, per seat, on the recurring interval shown at checkout, and renew automatically until cancelled.
    • You may cancel at any time, effective at the end of the current billing period. Fees already paid are non-refundable except where required by law or expressly stated.
    • We may change pricing on at least 30 days' written notice. Changes take effect at your next renewal; if you do not accept them, you may cancel before renewal.
    • Fees are exclusive of taxes. You are responsible for any sales, use or VAT/GST amounts, other than taxes on our net income.
    • If payment fails we may suspend the Service after giving you notice and a reasonable opportunity to correct it.

    Trials

Free trials are limited to one per customer, may have reduced functionality, and may require payment details to prevent abuse. Unless you cancel before the trial ends, the subscription begins and the first period is charged.

Payments you collect from your own customers

Where you collect payment through the Service, funds settle through your own payment processor account under that processor's terms. We facilitate the transaction and do not take a share of it; we are not a party to the transaction between you and your customer, and we are not a money transmitter, escrow agent or lender.

    5. Acceptable use

You agree not to use the Service to:

    • Violate any applicable law or regulation, including telemarketing, anti-spam and consumer protection rules.
    • Send unsolicited bulk messages, or contact people who have opted out.
    • Infringe intellectual property or privacy rights.
    • Transmit unlawful, harassing or deliberately misleading content.
    • Attempt to breach security, probe the Service without authorisation, or access data belonging to another organisation.
    • Interfere with the Service's operation, or circumvent rate limits and usage controls.
    • Scrape or use automated access beyond our documented APIs without permission.
    • Reverse engineer or attempt to extract source code, except where that right cannot lawfully be excluded.
    • Resell, sublicense or provide the Service to third parties as a service bureau without our written authorisation.

We may suspend access without prior notice where use threatens the security, integrity or availability of the Service or another customer's data. We will tell you why, and restore access once the issue is resolved.

    6. Your data and our intellectual property

You retain all rights in the data you and your users submit ("Your Data"), including your customer, job and quote records. You grant us a worldwide, non-exclusive, royalty-free licence to host, copy, transmit, display and process Your Data solely to provide, secure and support the Service, and as instructed by you. We do not sell Your Data, do not use it for advertising, and do not use it to train general-purpose AI or machine-learning models.

You are responsible for having the rights and any necessary consents to submit Your Data, including for contacting the individuals whose details you upload. We may use aggregated, de-identified statistics that do not identify you, your users or your customers to operate and improve the Service.

The Service, its software, design and documentation remain our property and that of our licensors, protected by copyright, trademark and other laws. These Terms grant you a limited, non-exclusive, non-transferable right to use the Service during your subscription, and nothing more. Feedback you send us is voluntary, and we may use it without obligation.

    7. Privacy and data protection

Our handling of personal information is described in our Privacy Policy, which forms part of these Terms. Where we process personal data of your customers on your behalf, you are the controller and we are the processor; our Data Processing Addendum governs that processing and is available from privacy@mrquote.net. Our current subprocessors are listed at /legal/subprocessors.

    8. Third-party integrations

The Service can connect to third-party products — Google Workspace, Microsoft 365, payment processors, accounting systems, mapping and property data providers. Those connections are optional and are governed by the third party's own terms and privacy policy. We do not control them, are not responsible for them, and cannot guarantee their continued availability; if a provider changes or withdraws an API, the dependent feature may change or stop working. Connecting an account authorises us to access it as described in the Privacy Policy, and you may disconnect at any time.

    9. Availability and support

We aim to keep the Service available continuously, but we do not guarantee uninterrupted or error-free operation. We provide reasonable-effort support during business hours, give advance notice of planned maintenance where practical, and work to resolve incidents promptly. Any binding availability commitment applies only if a written service level agreement forms part of your subscription.

Measurements, takeoffs, property data and AI-assisted output are estimates produced from third-party imagery and records. They are decision support, not a substitute for professional judgement or field verification. You remain responsible for verifying quantities, pricing and code compliance before relying on them.

    10. Disclaimer of warranties

Except as expressly stated in these Terms and to the fullest extent permitted by law, the Service is provided "as is" and "as available", and we disclaim all implied warranties including merchantability, fitness for a particular purpose, non-infringement, and any warranty arising from course of dealing or trade usage. Some jurisdictions do not allow the exclusion of certain warranties, so parts of this section may not apply to you.

    11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY SHALL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST BUSINESS OR LOST OR CORRUPTED DATA, ARISING OUT OF OR RELATING TO THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS SHALL NOT EXCEED THE FEES YOU PAID US FOR THE SERVICE IN THE TWELVE MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

Nothing in these Terms limits liability that cannot lawfully be limited, including for fraud, wilful misconduct, or death or personal injury caused by negligence. These limits apply even if a remedy fails of its essential purpose, and reflect the allocation of risk on which the pricing of the Service depends.

    12. Indemnification

You will defend and indemnify us against third-party claims, damages and reasonable costs arising from Your Data, your use of the Service in breach of these Terms or applicable law, or your failure to obtain rights or consents for data you submit. We will defend and indemnify you against third-party claims that the Service, used as permitted, infringes a US patent, copyright or trademark. In each case the indemnified party must give prompt notice, allow the other to control the defence, and provide reasonable cooperation; no settlement imposing an obligation on the indemnified party may be made without its consent.

    13. Term, termination and data export

Either party may terminate for convenience effective at the end of the current billing period, or immediately for the other's material, uncured breach after 30 days' written notice. On termination:

    • Your access to the Service ends.
    • You remain responsible for fees accrued before termination.
    • For 30 days you may export Your Data using the Service's export tools, or ask us for an export.
    • After that we delete or irreversibly anonymise Your Data on the schedule in the Privacy Policy, except where retention is legally required.
    • Sections on intellectual property, confidentiality, disclaimers, liability limits, indemnities and dispute resolution survive.

    14. Dispute resolution and arbitration

We would rather fix a problem than litigate it, so before filing a claim each party agrees to raise it in writing and negotiate in good faith for 30 days.

If that fails, any dispute arising out of or relating to these Terms will be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, before a single arbitrator, seated in the county in which Holistic Business Consulting LLC maintains its principal place of business. Judgment on the award may be entered in any court of competent jurisdiction.

Either party may bring an individual claim in small-claims court instead, and either may seek injunctive relief in court to protect intellectual property or confidential information. Claims must be brought in an individual capacity — not as a class, collective or representative action — and the arbitrator may not consolidate claims without both parties' consent. If this class-action waiver is held unenforceable, this arbitration section does not apply to the affected claim.

    15. Governing law

These Terms are governed by the laws of the state in which Holistic Business Consulting LLC maintains its principal place of business, and by applicable US federal law, without regard to conflict-of-law principles or the UN Convention on Contracts for the International Sale of Goods. Subject to section 14, the parties submit to the exclusive jurisdiction of the state and federal courts sitting in the county in which Holistic Business Consulting LLC maintains its principal place of business.

    16. General

    • Force majeure. Neither party is liable for delay or failure caused by events beyond its reasonable control.
    • Assignment. Neither party may assign these Terms without the other's consent, except to a successor in a merger, acquisition or sale of substantially all assets.
    • Entire agreement and severability. These Terms, the Privacy Policy and any order form are the entire agreement between us. If a provision is unenforceable, the rest remains in effect.
    • No waiver. Failure to enforce a provision is not a waiver of it.
    • Independent parties. Nothing here creates a partnership, agency, joint venture or employment relationship.
    • Notices. We may give notice by email to your account address or in the app; you give notice to us at the address in section 18.

    17. Changes to these terms

We may modify these Terms. For material changes we will give at least 30 days' notice by email or in the app before they take effect, and update the effective date above. Continued use after the change takes effect constitutes acceptance; if you do not accept, you may terminate before then and we will refund any prepaid fees covering the period after termination.
